Terms of Service
Effective April 30, 2026
These Terms govern the relationship between Certfill and the institutions that issue credentials through our platform.
1. The service
Certfill is a certificate issuance and verification platform. We let institutions design certificates, personalise them from a recipient list, deliver them by email, and provide a permanent verification URL for each credential.
2. Account
You must be authorised to enter into a binding agreement on behalf of yourself or your institution. You are responsible for the credentials, members, and activity associated with your account.
3. Subscriptions and billing
- Certfill is offered on per-certificate pricing as published on our pricing page. Plans range from a Free tier to Enterprise.
- Charges apply to certificates that are actually sent. Unsent or draft certificates are not billable.
- Taxes are your responsibility unless we are legally required to collect them.
- We may adjust pricing with at least 60 days' notice. Active agreements are honoured through the end of their current term.
Failure to pay results in suspension after a 14-day grace window. Recipient data and certificate records are retained during suspension but are not accessible until the account is restored.
4. Acceptable use
You agree not to:
- Issue credentials you are not authorised by the recipient's organisation or governing body to issue.
- Misrepresent the content, scope, or authority of any credential.
- Use the platform to send unsolicited communications or violate applicable law.
- Reverse engineer the service or extract its source code.
- Use the service to build a competing product.
5. Your data
You own all data you submit to Certfill, including recipient lists, certificate designs, and the rendered certificates. You grant us a limited licence to host, process, and display this data only as needed to operate the service.
We do not use your data to train machine-learning models or to build comparative products.
6. Recipient consent
You confirm that you have the legal basis to process the recipient data you upload and to send the recipient an email containing their certificate. The institution is the controller of recipient personal data; Certfill is the processor, as described in our Privacy Policy.
7. Verification
Every certificate we generate carries a permanent verification URL. You may not interfere with, suppress, or falsify a verification result. Should you wish to revoke a certificate, you may do so from your dashboard; the verification URL will then return a clear "revoked" state.
8. Our software
We retain all rights to the Certfill platform, its documentation, and underlying systems. No licence is granted beyond the right to use the service under these Terms.
9. Service availability
We aim for high availability across all plans. Customers on paid plans are entitled to the service-level commitments published on our pricing page. Free-tier accounts are provided without a service-level commitment.
10. Termination
You may close your account at any time. We may terminate for material breach with 14 days' notice, or immediately for activity that threatens the service, other users, or the integrity of the verification system. On termination, you may export your data for 30 days, after which it is deleted. Verification URLs for previously-issued certificates may be tombstoned to clearly indicate the institution has closed its account.
11. Disclaimers
The service is provided "as is" except for the express warranties stated in your subscription plan. We disclaim all other warranties to the maximum extent permitted by law.
12. Limitation of liability
Our aggregate liability under these Terms is limited to fees paid by you in the 12 months preceding the claim. We are not liable for indirect, consequential, or lost-profit damages.
13. Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes will be resolved in the courts of Lagos, Nigeria.
